Terms of Service

1. Acceptance of Terms

Welcome to Sonorix Audio. By accessing or using our website, services, or any related content provided by Sonorix Audio ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Sonorix Audio. If you do not agree to these Terms in their entirety, you must not access or use our services.

These Terms apply to all visitors, users, and clients who access or use our audio production services, including but not limited to audio editing, sound design, track preparation, audio post-production, and any ancillary services offered through our website or direct communication channels. We reserve the right to update, modify, or replace any part of these Terms at our sole discretion. Continued use of our services following the posting of any changes constitutes acceptance of those changes.

2. Description of Services

Sonorix Audio provides professional digital audio production services designed for content creators, businesses, media teams, educators, and creative professionals. Our core service offerings include:

  • Audio Editing: Comprehensive cleanup, noise removal, level normalization, multi-segment assembly, voice clarity enhancement, and general audio restoration of recorded materials.
  • Sound Design: Creation of custom sonic environments, ambient backgrounds, foley, audio accents, transitions, stingers, and atmospheric layering for video, advertising, and branded content.
  • Track Preparation: Stereo mixing, mastering, loudness normalization (LUFS compliance), platform-specific optimization, and format-specific export for digital platforms including YouTube, Spotify, Instagram, and other online channels.
  • Audio Post-Production: End-to-end audio finishing services combining editing, sound design, mixing, mastering, and final delivery in a complete production pipeline.

Sonorix Audio does not provide music licensing, music distribution, rights management, copyright clearance, or any services related to the commercial distribution of musical compositions. Our services are strictly limited to the technical production, enhancement, and finishing of audio materials provided by or created for our clients.

3. Client Responsibilities

As a client of Sonorix Audio, you are responsible for the following:

  • Providing accurate and complete project briefs, including the intended use, target platform, desired output format, and any technical specifications relevant to the final deliverable.
  • Ensuring that all source materials submitted to Sonorix Audio are owned by you or that you have obtained all necessary rights, licenses, and permissions to use such materials for the purposes of audio production and post-production.
  • Communicating feedback, revision requests, and project-related concerns in a timely manner to avoid delays in production timelines.
  • Maintaining the confidentiality of any project-specific credentials, file transfer links, or communication channels established for the duration of the project.
  • Refraining from submitting any content that is unlawful, defamatory, infringing, obscene, or otherwise objectionable, or that violates the rights of any third party.

Failure to fulfill these responsibilities may result in delays, additional charges, or, in extreme cases, termination of the service engagement at the Company's discretion.

4. Project Workflow and Delivery

All projects follow a structured workflow designed to ensure quality and transparency:

4.1 Project Submission

Clients submit project briefs through our website contact form or via direct communication with our team. The submission should include source files, a description of the project, the intended platform or use case, and any specific requirements or deadlines.

4.2 Assessment and Scope

Upon receiving a project submission, our team reviews the materials and provides an assessment of the scope of work, estimated turnaround time, and pricing. No production work begins until the client has reviewed and agreed to the project scope and associated costs.

4.3 Production

Once the project is approved, our audio engineers begin the production process according to the agreed-upon scope. This may include editing, sound design, mixing, mastering, and any other services outlined in the project agreement. During production, clients may be contacted for clarification or feedback as needed.

4.4 Review and Revisions

Upon completion of the initial production, clients receive the deliverables for review. Each project includes a reasonable number of revision rounds as specified in the project agreement. Additional revisions beyond the agreed scope may incur supplementary charges.

4.5 Final Delivery

Approved final deliverables are provided in the client's requested format via secure digital file transfer. Standard delivery formats include WAV, MP3, AAC, FLAC, and other industry-standard audio formats. Custom format requests can be accommodated upon prior arrangement.

5. Pricing and Payment

Service pricing is determined on a per-project basis and depends on factors including the complexity of the work, the number of tracks or assets involved, the scope of services requested, and the turnaround time required. All pricing is communicated to the client before production begins, and no charges are incurred until the client provides explicit approval.

Payment terms, methods, and schedules will be specified in the project agreement or invoice provided to the client. Late payments may result in the suspension of ongoing work or the withholding of final deliverables until the outstanding balance is resolved.

All prices are quoted in United States Dollars (USD) unless otherwise specified. Applicable taxes, if any, will be added to the invoiced amount in accordance with applicable law.

6. Intellectual Property

6.1 Client Materials

All source materials provided by the client remain the exclusive property of the client. Sonorix Audio does not claim any ownership rights over client-submitted content and will not use, distribute, or share client materials for any purpose other than the fulfillment of the agreed-upon services.

6.2 Deliverables

Upon full payment of all invoiced amounts, the client receives full ownership and usage rights to the final deliverables produced by Sonorix Audio as part of the project. The client is free to use, modify, distribute, and publish the deliverables without restriction, subject to any third-party rights that may apply to elements within the source materials.

6.3 Company Tools and Processes

Sonorix Audio retains all rights to its proprietary tools, techniques, workflows, templates, presets, and any other intellectual property developed independently by the Company. No license or ownership of such proprietary assets is transferred to the client as part of any service engagement.

7. Confidentiality

Sonorix Audio treats all client materials, project details, and communications as confidential. We will not disclose, share, or publish any client information to third parties without the client's prior written consent, except as required by law or as necessary to fulfill the contracted services (e.g., sharing materials with subcontractors under confidentiality obligations).

Clients who wish to impose additional confidentiality requirements beyond our standard practices may request a separate non-disclosure agreement (NDA) prior to the commencement of work.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Sonorix Audio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services, including but not limited to loss of revenue, loss of data, loss of business opportunities, or any other intangible losses.

Our total aggregate liability for any claims arising from or related to a specific project shall not exceed the total amount paid by the client for that particular project. This limitation applies regardless of the legal theory upon which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.

9. Termination

Either party may terminate a project engagement at any time by providing written notice to the other party. In the event of termination by the client, the client shall be responsible for payment of all services rendered up to the date of termination. In the event of termination by Sonorix Audio, the Company will provide a prorated refund for any prepaid services not yet rendered.

Sonorix Audio reserves the right to terminate service to any client who violates these Terms, engages in abusive or harmful behavior, or submits materials that are illegal or infringing upon the rights of others.

10. Dispute Resolution

Any disputes arising from or related to these Terms or the services provided by Sonorix Audio shall first be addressed through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration in accordance with the rules of the American Arbitration Association, with the arbitration taking place in Saint Louis, Missouri.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law principles. Any legal proceedings arising from these Terms shall be conducted in the state or federal courts located in Saint Louis, Missouri.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the provision.

13. Entire Agreement

These Terms, together with any project agreements, invoices, or supplemental terms provided by Sonorix Audio, constitute the entire agreement between you and the Company regarding the use of our services. These Terms supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether written or oral, between the parties.
